How does licensing work?

A license allows you to retain ownership of your patent, trademark, copyright, or other intellectual property while granting others the right to use, manufacture, market, sell, or distribute your useful or creative work. In exchange for those rights, the other party customarily pays you a fee, either in the form of a royalty on products sold or in the form of a flat fee. Licensing agreements require skillful negotiation. Issues of exclusivity, confidentiality, territory and timeframe, sublicensing, indemnification, patent policing, and royalty specifications are all important elements that must be included in a licensing agreement.
